Billing & Credits Policy

This Billing & Credits Policy ("Policy") governs pricing, payment, credits, and billing for H33 Services and is incorporated into the H33 Platform Terms of Service (the "Terms"). Capitalized terms not defined here have the meanings in the Terms.
1. Overview
1.1 Credit-Based Services
The Services operate on a credit-based model. Customer purchases Credits (or receives trial Credits) and Credits are consumed based on usage as described in Documentation, the applicable Order Form, and this Policy.
1.2 Binding Effect
By purchasing Credits, enabling a payment method, enabling auto-reload, or using the Services, Customer agrees to this Policy.
2. Credits
2.1 What Credits Are
Credits are prepaid units of Service entitlement that are consumed by API calls and other Service operations. Credits:
- are not currency and have no cash value;
- are non-transferable and non-assignable;
- may not be resold, exchanged, or redeemed for cash.
2.2 Credit Consumption
Credit consumption varies by operation type, processing mode, feature/module usage, tier entitlements, and other factors described in the Documentation or Order Form. H33's usage measurement systems are the system of record for credit consumption.
2.3 Credit Balance
Credit balances are associated with a Customer account. Customer is responsible for monitoring its credit balance and setting internal spend controls.
3. Trials, Promotions, and Free Credits
3.1 Trials
Trial Credits (and any promotional or free Credits) may be subject to usage caps, daily limits, feature restrictions, and other constraints, and may be modified or revoked at any time.
3.2 Expiration for Trials/Promotions
Trial Credits and promotional Credits may expire on the timeline specified at issuance (and if not specified, they expire at the end of the trial period). Expired trial/promotional Credits have no value and will not be reinstated.
3.3 Abuse Prevention
Creating multiple accounts to obtain additional trial Credits, or any attempt to manipulate promotional programs, is prohibited and may result in immediate suspension or termination.
4. Purchases, Payment Methods, and Authorization
4.1 Payment Methods
Customer must provide a valid payment method. H33 may support card payments and may offer ACH/wire/invoicing for approved Customers or tiers.
4.2 Authorization
By providing a payment method, Customer authorizes H33 (and its payment processors) to charge applicable fees, taxes, overages (if enabled), chargeback fees, and any other amounts due under the Terms, Order Form, or this Policy.
4.3 Failed Payments
If a charge fails, H33 may retry charges, request updated payment information, and/or suspend access until payment is received.
4.4 Invoices (If Offered)
If H33 approves Customer for invoicing:
- invoice terms are as stated in the Order Form (or, if not stated, Net 30);
- unpaid invoices may accrue interest at the lesser of 1.5% per month or the maximum permitted by law;
- Customer is responsible for reasonable collection costs, including attorneys' fees where permitted.
5. Auto-Reload
5.1 Optional Feature
Customer may enable automatic reload ("Auto-Reload") through account settings or an Order Form.
5.2 Trigger and Charge
When enabled, Auto-Reload will purchase additional Credits when the credit balance drops below a defined threshold (as shown in settings or described in the Documentation). Customer authorizes these charges without further confirmation.
5.3 Changes
Customer may disable Auto-Reload or adjust settings at any time. Changes apply prospectively and do not affect charges already initiated.
6. Zero-Balance Behavior; Overage Options
6.1 Default: Hard Stop
Unless Customer has enabled Overages under Section 6.2 or otherwise agreed in an Order Form, when Customer reaches a zero (0) Credit balance, the Services may stop processing requests and API calls may return an insufficient credits error.
6.2 Optional: Overages (If Enabled)
H33 may allow Customer to enable overages ("Overages") subject to H33 approval and/or tier requirements. If enabled:
- Customer authorizes H33 to charge for usage in excess of available Credits at the overage rate shown in the account, Documentation, or Order Form; and
- H33 may impose overage caps, throttling, or other controls at its discretion to manage risk.
6.3 Protective Controls
H33 may throttle, limit, or temporarily suspend high-volume usage to prevent runaway charges, suspected abuse, or system risk -- even if Overages or Auto-Reload are enabled.
7. Pricing Changes
7.1 Published Pricing
If Customer purchases through published pricing (e.g., posted tier packages), prices and consumption schedules may change over time.
7.2 Notice
For changes that materially increase published prices or materially increase credit consumption rates for existing paying Customers, H33 will use commercially reasonable efforts to provide advance notice (e.g., 30 days), except where changes are required for security, legal compliance, or to prevent fraud/abuse (in which case changes may be effective immediately with notice when practicable).
7.3 Order Form Pricing
If Customer is on an Order Form with committed pricing, pricing changes are governed by the Order Form.
8. Taxes
8.1 Taxes Generally
Fees are exclusive of all taxes, levies, duties, and governmental assessments (including VAT, GST, sales/use taxes). Customer is responsible for all such amounts, excluding taxes based on H33's net income.
8.2 Tax Documentation
Customer will provide any valid tax exemption documentation upon request. If Customer is required to withhold taxes from payments to H33, Customer will gross up payments unless prohibited by law or stated otherwise in an Order Form.
9. Refunds; Cancellations; Credit Corrections
9.1 No Refunds
All Credit purchases and fees are non-refundable except as required by law or expressly stated in an Order Form signed by H33.
9.2 Termination or Non-Use
Termination, suspension, non-use, feature changes, service changes, or perceived lack of suitability do not entitle Customer to any refund.
9.3 Credit Corrections
If H33 confirms a verifiable platform error caused incorrect credit deductions, H33 will issue a credit adjustment (not a cash refund) by restoring the improperly deducted Credits or applying equivalent Credits to Customer's account.
9.4 No Refund for Third-Party Fees
H33 is not responsible for third-party fees (including network, telecom, cloud, blockchain, identity verification provider fees, or payment processing fees) incurred by Customer, and such fees are not refundable by H33.
10. Billing Disputes
10.1 Dispute Windows
(a) Customer must notify H33 in writing of any disputed credit consumption or usage measurement within thirty (30) days of the disputed event.
(b) Customer must notify H33 of any disputed invoice or payment charge within sixty (60) days of the charge or invoice date.
(c) Failure to provide timely notice waives the dispute. Disputes must include reasonable detail sufficient to investigate.
10.2 Dispute Process
Disputes must include sufficient detail to investigate (date range, request IDs if available, affected endpoints/features, and the basis for the dispute). H33 will investigate in good faith and provide a response within a commercially reasonable period.
10.3 No Offset
Customer may not withhold, set off, or net out disputed amounts against amounts due unless required by law or expressly permitted in an Order Form.
11. Chargebacks and Payment Reversals
11.1 Prohibited Without Good Faith Basis
Chargebacks and payment reversals are strongly discouraged and may be treated as a material breach if initiated without a good faith basis.
11.2 Immediate Suspension
H33 may immediately suspend access upon any chargeback or payment reversal pending resolution.
11.3 Chargeback Fees
Customer is responsible for chargeback fees, administrative costs, and collection costs associated with payment reversals to the extent permitted by law.
12. Suspension for Nonpayment; Collections
12.1 Suspension
H33 may suspend Services for nonpayment, failed payments, overdue invoices, chargebacks, suspected fraud, or elevated payment risk.
12.2 Reactivation
Reactivation may require payment in full, updated payment method verification, and/or additional risk controls.
13. Credits on Termination
13.1 Forfeiture
Unless required by law or expressly stated in an Order Form, unused Credits are forfeited upon account termination and will not be refunded.
13.2 Data Export Not a Condition of Refund
Any data export provided after termination is governed by the Terms and does not create any refund or credit reinstatement obligations.
14. Changes to This Policy
H33 may update this Policy from time to time. Updates are effective when posted (or as otherwise stated). Continued use of the Services after the effective date constitutes acceptance.
